Authorized Dealer Terms

By accepting these Authorized Dealer Terms at signup (a checkbox acceptance), your account is activated as an Authorized Dealer at dealer pricing once the activation requirements below are met. Business verification (EIN or seller's permit) is optional and never delays activation. A sample kit purchase is not required. This grants full catalog access, dealer locator listing, marketing asset access, and certified installer status from day one.

Authorized is the standard dealer status, with dealer pricing from your first order. The Reserve program is a separate, optional program on a 12-month agreement, signed from your dealer dashboard (see the dealer program).

One-time activation requires:

• Your business name and a contact email address.
• Acceptance of these Authorized Dealer Terms at signup (checkbox acceptance).
• Confirmation of that email address.

An EIN is not required to sign up, and not required to order. We source it from business records where we can. Tax-exempt purchasing is keyed to your resale certificate, which you can add any time within 60 days of your first order.

Accepting these Terms at signup and verifying your email address activates the account; there is no review queue. Business details such as an EIN may be provided any time and never delay activation. Account activation triggers a magic-link email with portal access. The sample kit is an optional dealer product and is not an activation requirement.

The Authorized dealer pricing applies to eligible orders. Sample kits, training enrollments, and certain marketing add-ons bill at MSRP (these are not dealer-discount-eligible).

Authorized Dealers agree to ONE PPF brand standards:

• No-resale policy: dealers purchase ONE PPF film for their own paint protection install business only. No resale of rolls; no marketplace listings; no transfers to other dealers. Install service pricing is freely market-determined.
• Use of ONE PPF trademarks, logos, and trade dress follows the Brand Guidelines.
• Customer-facing references to ONE PPF accurately represent product capabilities and warranty terms.

Authorized status persists indefinitely while:

• Your account remains in good standing (no chargebacks, payment failures, or unresolved disputes).
• You remain compliant with brand standards and the no-resale policy.

ONE PPF may terminate Authorized status for cause (material breach, brand standards violation, fraud) with 30 days written notice and a cure period. Dealers may close their account at any time by emailing sales@onepaintprotection.com.

Account information (business name, EIN, contact details, purchase history) is stored to operate the dealer program and process orders. We do not sell dealer data to third parties. Full data handling practices are described in our Privacy Policy.

ONE PPF may update these terms with 30 days notice via email to your registered business address. Continued use of the dealer program after the effective date of updates constitutes acceptance.

8.1 Governing law. These Authorized Dealer Terms are governed by the laws of the State of Florida, without regard to its conflict of law rules.

8.2 Mediation first. Before starting arbitration, the parties will try in good faith to resolve any dispute arising out of or relating to these terms or the dealer relationship through mediation with a mutually agreed mediator in Sarasota County, Florida. Mediation starts by written notice and ends sixty (60) days after that notice unless the parties agree in writing to extend it.

8.3 Binding arbitration. A dispute not resolved by mediation is finally resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator, seated in Sarasota County, Florida. This agreement to arbitrate is governed by the Federal Arbitration Act, 9 U.S.C. 1 and following, and, to the extent not inconsistent with it, the Revised Florida Arbitration Code, Chapter 682, Florida Statutes. Judgment on the award may be entered in any court of competent jurisdiction.

8.4 Individual claims only. Each party may bring claims only in its individual capacity, and not as a plaintiff or class member in any class, collective or representative proceeding.

8.5 Court exceptions. Either party may (a) bring a qualifying claim in the small claims court of Sarasota County, Florida, and (b) seek temporary or preliminary injunctive relief in aid of arbitration, or to protect its intellectual property or confidential information.

8.6 Venue. Any court proceeding permitted by Section 8.5, and any action to confirm, vacate or enforce an arbitration award, is brought in the state courts located in Sarasota County, Florida, or in the United States District Court for the Middle District of Florida, Tampa Division, and each party consents to personal jurisdiction there.

8.7 Order of precedence. This Section 8 controls over any governing law or dispute resolution term in the website Terms and Conditions or any other ONE PPF policy. In any other conflict between these Authorized Dealer Terms and the Terms and Conditions, the Terms and Conditions control.

8.8 Earlier versions. A dealer who accepted an earlier version of these terms remains governed by the governing law and dispute terms of that version for any dispute arising before the dealer accepts this version.
